HYP Sales Agreement

This Sales Agreement ("Agreement") is entered into on the date signed below by the undersigned seller ("Seller") in favor of HYP LLC, a Florida limited liability company ("Buyer").

1. Sale of Item(s) — Seller agrees to sell and Buyer agrees to purchase the above-described Item(s) for the Purchase Price listed above, subject to the terms and conditions of this Agreement.

2. Seller's Guarantee of Authenticity — Seller represents and warrants that all Item(s) sold under this Agreement are 100% authentic and genuine, accurately represented in all respects, and are not counterfeit, replica, altered, or misrepresented. Seller affirms lawful ownership of the Item(s), free of liens or third-party claims.

3. Authentication Review Period — Buyer shall have fourteen (14) calendar days from receipt of the Item(s) to inspect and authenticate them. Buyer's determination of authenticity shall be final and made in Buyer's sole discretion.

4. Refund Obligation — If Buyer determines, in its sole discretion, that any Item is Non-Authentic, counterfeit, stolen, unlawfully obtained, or subject to any ownership dispute or lien, Seller agrees to immediately refund the full purchase price within three (3) business days of notice, excluding any applicable shipping or handling costs.

5. Costs, Legal Fees, and Collection — Seller agrees to reimburse Buyer for all costs incurred in enforcing this Agreement, including but not limited to attorney fees, court costs, investigation expenses, and collection fees.

6. Indemnification — Seller agrees to indemnify, defend, and hold harmless Buyer, its members, managers, and employees from any claims, damages, or losses arising from non-authentic, misrepresented, or unlawfully sold Item(s).

7. Governing Law and Venue — This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.

8. Entire Agreement — This Agreement constitutes the entire understanding between the parties and supersedes all prior oral or written agreements or representations.

9. Severability — If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.

10. Acknowledgment and Signature — Seller affirms that Seller is at least 18 years of age, has legal authority to sell the Item(s), and agrees to all terms of this Agreement.
